Pawdicure LLC Unified Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pawdicure, LLC ("Pawdicure," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Pawdicure platform, website, mobile application, and all related services (collectively, the "Platform").

1. Acceptance and Scope
1.1 Agreement to Terms
By accessing, using, or registering for the Pawdicure Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms, you must not access or use the Platform.
1.2 User Types and Applicability
These Terms apply to all users of the Platform, including:
- Clients: Pet owners who book nail trimming services for their pets
- Technicians: Independent contractors who provide pet nail trimming services
- Staff: Pawdicure employees and administrators who manage platform operations
- Visitors: Individuals who browse the Platform without creating an account
1.3 Authority and Eligibility
You represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into this agreement
- For pet services: You are the lawful owner of the pet or have explicit authorization from the pet owner
- For Technicians: You are authorized to work in the United States and meet all professional qualifications
- All information you provide is accurate, current, and complete
2. Platform Services and Scope
2.1 Service Description
Pawdicure operates a digital platform that connects pet owners (Clients) with qualified independent contractor Technicians for pet nail trimming services. The Platform facilitates booking, scheduling, payment processing, and communication between parties.
2.2 Authorized Services
The only pet grooming service authorized on the Platform is pet nail trimming. Any other services provided outside this scope are unauthorized and not covered under these Terms or any associated insurance policies.
2.3 Platform Role
Pawdicure acts solely as a technology platform facilitating connections between Clients and Technicians. We are not:
- An employment, staffing, or referral agency
- A party to service transactions between Clients and Technicians
- Responsible for the quality, timing, or legality of services provided
- Providing direct pet care services
3. User Responsibilities by Role
3.1 Client Responsibilities
As a Client, you agree to:
- Provide accurate information about your pet, including any behavioral issues or medical conditions
- Disclose any history of aggressive behavior, biting, or anxiety during grooming sessions
- Ensure you are the pet's legal owner or have proper authorization
- Be present during service appointments unless otherwise agreed
- Provide a safe environment for the Technician to perform services
- Pay all fees and charges promptly according to the agreed terms
- Provide at least 24 hours' notice for cancellations to avoid fees
3.2 Technician Responsibilities
As a Technician, you agree to:
- Maintain all required licenses, certifications, and insurance coverage
- Provide services in a professional, safe, and humane manner
- Only perform authorized nail trimming services
- Maintain client confidentiality and treat all pets with care and respect
- Comply with all applicable laws and regulations
- Report any incidents, injuries, or concerning pet behavior immediately
- Maintain accurate records of services provided
- Handle payments and scheduling through the Platform exclusively
3.3 Staff Responsibilities
As Pawdicure Staff, you agree to:
- Use platform access solely for legitimate business purposes
- Maintain confidentiality of all user information and business data
- Follow all internal policies and procedures
- Report security incidents or platform issues promptly
- Assist users professionally and in accordance with company standards
- Protect intellectual property and proprietary information
4. Insurance and Liability
4.1 Technician Insurance Requirements
Occupational Accident Insurance
All Technicians are covered by Company-provided Occupational Accident Insurance during active service periods. This coverage:
- Activates when clocked in for a scheduled appointment
- Remains active while providing authorized services on client property
- Terminates when service is completed and Technician leaves client property
- Does not cover commute time or unauthorized activities
- Includes benefits up to $1,000,000 for medical expenses, accidental death, dismemberment, and disability
- Is charged at a rate per job (currently $0.152), subject to change based on insurance provider rates
General Liability Insurance
Technicians must maintain independent General Liability Insurance with minimum acceptable coverage levels for:
- Bodily injury and personal injury claims
- Property damage claims
- Professional liability related to pet care services
- Coverage must be secured within 60 days of first appointment
4.2 Company Liability Limitations
Pawdicure's liability is limited as follows:
- We disclaim liability for pre-existing pet conditions or injuries
- We are not responsible for Technician negligence or misconduct
- We do not guarantee service quality, timing, or outcomes
- Platform availability and functionality are provided "as is"
- Maximum liability is limited to fees paid for services in question
4.3 User Indemnification
You agree to indemnify, defend, and hold harmless Pawdicure and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Platform or violation of these Terms
- Services provided or received through the Platform
- Pet behavior, injuries, or property damage during appointments
- Breach of any representations, warranties, or agreements made herein
5. Payment Terms
5.1 Client Payments
- All service fees are due at the time of booking or service completion
- Payment processing is handled through secure third-party providers (currently Stripe)
- Additional fees may apply for cancellations, no-shows, or special circumstances
- Tips for Technicians are processed separately and remitted in full
5.2 Technician Compensation
- Technicians receive agreed-upon commissions for completed services
- Payments are processed weekly, minus applicable fees and deductions
- Platform fees, insurance costs, and processing fees are deducted as specified
- Promotional discounts or coupons do not reduce Technician compensation
- Adjustments may be made for legitimate client complaints or suspected fraud
5.3 Cancellations and Refunds
Clients must provide at least 24 hours' notice for cancellations. Service fees are generally non-refundable once services are provided.
6. Platform Use and Conduct
6.1 Acceptable Use
You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any local, state, federal, or international laws or regulations
- Use the Platform for unauthorized commercial purposes
- Attempt to circumvent platform fees or payment systems
- Harass, threaten, or abuse other users
- Post false, misleading, or defamatory content
- Attempt to gain unauthorized access to platform systems
6.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Promptly notifying us of any unauthorized access or security breaches
- Using strong, unique passwords and enabling available security features
7. Intellectual Property
7.1 Platform Content
All Platform content, including software, text, images, logos, and design elements, is owned by Pawdicure or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.
7.2 User Content
By submitting content to the Platform, you grant Pawdicure a worldwide, royalty-free, perpetual license to use, modify, distribute, and display such content for platform operations and marketing purposes.
8. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.
9. Dispute Resolution
9.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Virginia, without regard to conflict of law principles. All disputes related to these Terms or the Platform shall be subject to the exclusive jurisdiction of state and federal courts located in Loudoun County, Virginia.
9.2 Mandatory Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, except:
- Claims may be filed in small claims court if they qualify
- Either party may seek injunctive relief in court for intellectual property violations
9.3 Class Action Waiver
You agree that any arbitration or court proceeding shall be limited to the dispute between you and Pawdicure individually. You waive the right to participate in class actions, collective proceedings, or representative actions of any kind.
9.4 Time Limitation
Any claim related to these Terms or the Platform must be filed within one (1) year after the claim arises, or such claim shall be permanently barred.
10. Platform Modifications and Termination
10.1 Service Modifications
Pawdicure reserves the right to:
- Modify, suspend, or discontinue Platform features with or without notice
- Update these Terms at any time with notice to users
- Implement new policies or procedures as needed
- Change fee structures with reasonable advance notice
10.2 Account Termination
We may terminate or suspend user accounts for:
- Violation of these Terms or our policies
- Suspected fraudulent or illegal activity
- Extended periods of inactivity
- Business or operational reasons
11. Disclaimers and Warranties
11.1 Platform Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind. Pawdicure disclaims all warranties, express or implied, including:
- MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- ACCURACY, RELIABILITY, OR COMPLETENESS OF PLATFORM CONTENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
- SECURITY OF DATA TRANSMISSION OR STORAGE
11.2 Service Disclaimers
Pawdicure makes no warranties regarding:
- The quality, safety, or legality of services provided by Technicians
- The accuracy of user-provided information
- The behavior or condition of pets during services
- Third-party payment processing or other integrated services
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAWDICURE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- LOSS OF DATA OR USE OF PLATFORM
- PERSONAL INJURY OR PROPERTY DAMAGE DURING SERVICES
- THIRD-PARTY CLAIMS OR ACTIONS
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Pawdicure regarding the Platform and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
13.3 No Waiver
Pawdicure's failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.
